Scientific & Medical Equipment House Co. announces the opening of nomination for membership in the Company’s Board of Directors (for Seat No. 7) for the current term, which commenced on July 31, 2023, and will continue for a period of three Gregorian years ending on July 30, 2026.
The nomination for membership in the Board of Directors shall be in accordance with the provisions of the Saudi Companies Law, the Corporate Governance Regulations issued by the Capital Market Authority, the Company’s Articles of Association, and the rules and procedures set by the Company’s Nomination and Remuneration Committee.
Candidates who wish to nominate themselves for Board membership and who meet the required conditions and qualifications must submit their nomination applications within the period specified in this announcement and in accordance with the details outlined below.
Voting on the election of the nominated member will take place during the upcoming General Assembly Meeting, the date of which will be announced at a later time after obtaining the necessary approvals from the relevant authorities.

Policy and criteria of nomination
The candidate must fulfill the nomination requirements for membership in the Board of Directors as stipulated in the relevant laws and regulations, as follows:
1. Submission of a letter addressed to the Nomination and Remuneration Committee at the company expressing the candidate’s desire to nominate himself/herself within the specified nomination period (one month from the opening date) (attached). The letter must be accompanied by the candidate’s resume, academic qualifications, and experience in the company’s field of business, in accordance with the applicable statutory forms and requirements.
2. Submission of a statement listing the names of joint-stock companies in which the candidate holds membership on the Board of Directors.
3. Submission of a statement disclosing any companies or establishments the candidate manages or owns that conduct activities similar to those of the company.
4. Disclosure to the Board of Directors and the General Assembly of any conflict of interest cases—according to the procedures set by the Capital Market Authority—including the following:
• Any direct or indirect interest in businesses or contracts made for the company’s account.
• Participation in any activity that may compete with the company or in any of its business sectors.
5. Submission of a statement detailing the number and dates of Board terms of joint-stock companies in which the candidate has previously served as a board member. If the candidate has served as a board member of the company in previous terms, a statement must be provided indicating the number of meetings attended during the last term, in addition to the meetings of the committees in which the candidate served.
6. Submission of a signed copy of Form No. (3) issued by the Capital Market Authority for nomination to the Board of Directors (attached). The form can be obtained from the Forms section on the CMA website:

7. Submission of Form No. (1), the resume in both Arabic and English (attached).
8. Attachment of a clear and valid copy of the national ID, family card, and passport (for non-Saudis), or the commercial registration for companies and institutions, along with the nominee’s contact numbers.
9. A declaration signed by the nominee confirming that he/she meets the membership criteria and is willing to carry out the duties and responsibilities (attached).
The Nomination and Remuneration Committee will review the nomination applications submitted to it based on the provisions of Paragraph (2) of Article Sixty-Two of the Corporate Governance Regulations. Please note that voting during the General Assembly will be limited to candidates who submitted their nominations in accordance with the standards and criteria set out in the Board Membership Policies and Procedures.
The Nomination and Remuneration Committee reserves the right to reject any nomination application that does not meet the requirements and conditions set out in the Board Membership Policy and Criteria, without notifying or reverting to the applicant.
